d.o.o. or preduzetnik
A company and a sole trader are different registrations. Decide before you pay a fee or order a signature.

This is a StartCG summary, not legal, tax, or investment advice. Confirm fees, forms and deadlines on the official page before you act.
Two different doors
A d.o.o. is a company. The national business portal says it becomes a legal person on the day it is registered, and that the Tax Administration issues the certificate. A preduzetnik is a sole trader: a different registration. Choose with an accountant before you pay a fee or order a signature.
What to decide before you pick
- Who owns the business, and whether more than one person should be a founder
- Whether you want the company and your personal wallet to stay separate
- Whether you will hire in the first months
- Whether a client or a grant call asks for a company rather than a sole trader
What this page will not tell you
It will not tell you the minimum capital, the tax rate, or which form is cheaper. Those answers sit in the current law and on the official page. A copied number goes stale. Read the business portal’s guide and ask the Point of Single Contact which path matches your case.
If this summary and an official page disagree, follow the official page.
